Effective October 23, 2026.
In plain words
- This portal is your firm's. AccuMax provides the technology; your firm provides your services.
- An AI assistant may answer your questions. It can be wrong, it is not tax, legal or accounting advice, and no one at your firm sees an answer before you do. Verify with qualified personnel at your firm.
- Your information belongs with your firm. AccuMax handles it for your firm and does not use it to train AI models.
- Washington law applies and there is no arbitration.
1. Who we are and what this is
These Client Terms of Use (the "Terms") are between you and BusinessFirst LLC, a Washington limited liability company doing business as AccuMax ("AccuMax," "we," "us"). You are a client of a tax, accounting or other professional firm (your "Firm") that uses AccuMax. We provide the Client Portal to your Firm. You use it by invitation from your Firm, to share information, documents and messages with your Firm, to chat and ask questions, and to use the features your Firm turns on. These Terms cover only what AccuMax provides: the Client Portal and its features. They do not cover your Firm's own services, or any other way you deal with your Firm. You accept these Terms by selecting I Agree when you create your account or sign in, and again if we ask you after a material change.
2. Your Firm, not AccuMax
Your relationship is with your Firm. Your Firm alone is responsible for the professional services it gives you, its fees and its advice. AccuMax is software. We are not an accounting firm, a law firm or a tax return preparer; we do not prepare, sign or file a return, we do not give tax, legal, accounting or other professional advice, and we do not represent you before any tax authority. Take questions and disputes about services, fees, quality or conduct to your Firm.
3. Using the Client Portal
- Give accurate information and keep your sign-in details secure. Tell your Firm or us at once if someone else uses your account.
- Multi-factor authentication is required on the Client Portal. Do not disable it or work around it.
- Use the portal only for lawful purposes and only for your own dealings with your Firm. Do not try to reach anyone else's information, test or probe the portal's security, interfere with it, or use automated tools to access it.
- Your Firm or we may suspend your access to protect the portal, you or other people, or if these Terms are broken.
4. AI in the Client Portal
AI is part of the platform. Features that use artificial intelligence help your Firm and you, for example by answering your questions and by helping to collect, read and organize the documents you provide. Your Firm decides which AI features are on, and features may be added, changed or removed from time to time.
AI answers are not advice and are not reviewed first. What an AI feature says to you is generated by artificial intelligence. It can be inaccurate, incomplete or out of date. It is not tax, legal, accounting or other professional advice from AccuMax or from your Firm, and no one at your Firm reviews an answer before you see it. Verify with qualified personnel at your Firm before you rely on an answer or make a decision.
No obligation. To the fullest extent the law allows, AccuMax makes no promise about, and has no obligation or liability for, the accuracy, completeness, timeliness or consequences of any AI-generated answer or item, or for any decision or action that you or anyone else takes or does not take because of one. Your Firm's qualified personnel, not AccuMax, decide what is used, sent or filed.
What not to type. Do not type passwords, security codes or full account numbers into a chat. Share documents only where the portal asks for them.
The notice next to the AI assistant and its Learn more text say the same as this section.
5. Your information
Your Firm controls the information and documents you give through the portal and decides how they are used. AccuMax handles them only for your Firm. We do not use them to train AI models. The AI features run on the Microsoft Azure AI platform. Our Privacy Policy explains more. Send requests to see or delete your information to your Firm first.
Feedback. If the portal lets you rate an AI answer or send feedback, AccuMax receives only your rating and what you type. We use it to improve the AI features, and we do not use it to train or fine-tune any AI model. Please leave out personal and confidential details.
6. Payments
If you pay your Firm through the portal, AccuMax only facilitates the payment, which a third-party payment processor handles. AccuMax is not responsible for disputes about services or fees, or for refunds or chargebacks. Take those to your Firm and, for a disputed payment, to your financial institution.
7. Our responsibility
THE CLIENT PORTAL AND ITS AI FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, ACCUMAX IS NOT LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR USE OF THE PORTAL. Nothing in these Terms limits liability that the law does not allow to be limited.
8. Changes and ending
We may update these Terms. We will ask you to accept a material change before you keep using the portal, with at least 30 days' notice. You can stop using the portal at any time. Your Firm or we may end your access as section 3 allows.
9. Law and disputes
Washington law governs these Terms. Disputes go to the state or federal courts in King County, Washington. There is no arbitration.
